Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Proponent platform, website, and related services (the "Service"). By using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Proponent provides customer intelligence software that connects to your call recorders and CRM, analyzes sales conversations, and surfaces and syncs insights. Features may evolve over time.

Access to the Service may require a paid subscription as set out in your order or agreement with us.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

You must provide accurate information and keep it up to date.

You retain all rights to the data you and your connected integrations make available to the Service ('Customer Data'). You grant us a limited license to process Customer Data solely to provide and improve the Service for you.

You are responsible for obtaining any necessary consents and for complying with applicable laws (including recording and privacy laws) for the conversations and data you process through the Service.

You agree not to misuse the Service, including by attempting to access it unlawfully, reverse engineering it, interfering with its operation, or using it to violate the rights of others or any applicable law.

The Service, including all software, content, and trademarks, is owned by Proponent or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as expressly stated.

If your plan is paid, you agree to pay the fees described in your order. Fees are non-refundable except as required by law or expressly stated in your agreement.

Each party may receive confidential information from the other. The receiving party will protect such information and use it only as needed to perform under these Terms.

The Service is provided 'as is' and 'as available'. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Insights generated by the Service are probabilistic and intended to assist, not replace, human judgment.

To the maximum extent permitted by law, Proponent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising from your use of the Service.

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or as needed to protect the Service. Upon termination, your right to use the Service ceases.

We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.
